mother(load) Helper Agreement 1. Who this is between This agreement is between you ("You" or "Helper") and mother(load) ("Platform" or "mother(load)"), a platform operated by MOTHERLOAD LLC ("MOTHERLOAD"). By creating an account, You agree to the terms below. 2. You are an independent contractor You are not an employee of MOTHERLOAD. You set your own schedule, choose which bookings to accept, and work independently. MOTHERLOAD does not control the manner, method, or means by which You provide services. You are responsible for your own taxes, insurance, and expenses. MOTHERLOAD does not withhold taxes on your behalf. Nothing in this agreement creates an employment, agency, joint venture, or partnership relationship between You and MOTHERLOAD. 3. What you're agreeing to do You agree to provide services through the Platform honestly and professionally — showing up when You've committed, treating families with care and respect, and representing Yourself accurately in your profile. 4. Your profile The information in Your helper profile must be accurate and up to date. This includes your services, availability, experience, and any relevant certifications. MOTHERLOAD reserves the right to deactivate profiles that contain false or misleading information, in its sole discretion. 5. Background check All Helpers are required to complete a background check before their profile goes live. By creating an account You consent to this check being conducted through MOTHERLOAD LLC's preferred third-party provider. Failure to pass a background check, or any material misrepresentation in connection with it, is grounds for immediate deactivation. 6. Payment MOTHERLOAD facilitates payment between Helpers and families through the Platform. Payment terms, including applicable platform fees, are set forth within the Platform and may be updated from time to time with notice to You. You are responsible for all taxes on earnings received through the Platform. 7. Privacy and confidentiality Through Your work on the Platform You may have access to personal information about families including, but not limited to, their address, their children's names, and their routines ("Personal Information"). You agree to keep such Personal Information private and to use it only to perform the services requested. You will not share, sell, disseminate, or use family information for any other purpose. This obligation survives termination of this agreement. 8. Non-solicitation You agree not to solicit, arrange, or accept services directly from any family You connected with through the mother(load) Platform, outside of the Platform, for a period of 12 months following your last completed Platform booking with that family. If You are found to have circumvented the Platform, You acknowledge that You are liable for damages equal to 20% of MOTHERLOAD LLC's estimated annual value of that client relationship. This obligation survives termination of this agreement. This clause exists to protect the community we're all building together — not to limit your freedom to work. 9. Community standards mother(load) is a community rooted in mutual respect. You agree to treat every family, and every interaction on the Platform, with the same care You'd want someone to bring into your own home. 10. Termination Either party may end this agreement at any time. MOTHERLOAD may deactivate your account for violations of this agreement, failure to pass a background check, conduct that harms the community, or for convenience. Termination does not affect obligations that survive under this agreement. 11. Indemnification You agree to indemnify, defend, and hold harmless MOTHERLOAD LLC and its officers, members, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your provision of services through the Platform; (b) your breach of this agreement; (c) your violation of any applicable law; or (d) any claim by a third party related to your actions or omissions. 12. Limitation of liability mother(load) is a platform that connects Helpers and families. MOTHERLOAD LLC is not responsible for what happens during or outside of a service engagement. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTHERLOAD LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID TO YOU THROUGH THE PLATFORM IN THE THREE (3) MONTHS PRECEDING THE CLAIM. 13. Dispute resolution You and MOTHERLOAD agree to attempt to resolve any dispute informally first by contacting MOTHERLOAD at [legal contact email]. If the dispute cannot be resolved informally within 30 days, You and MOTHERLOAD agree to resolve it through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. YOU AND MOTHERLOAD EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. 14. Governing law This agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. 15. Severability If any provision of this agreement is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. 16. Entire agreement This agreement constitutes the entire agreement between You and MOTHERLOAD with respect to its subject matter and supersedes all prior agreements or understandings. 17. Changes to this agreement MOTHERLOAD LLC may update these terms from time to time. You'll be notified by email, and your continued use of the Platform constitutes acceptance of the updated terms.
